Dave Bagley, LL.M.

Dave's practice focuses on advising business owners and their families on the legal, tax, and estate planning issues that arise throughout the life cycle of a business. He serves as a trusted adviser to business owners on a wide range of legal matters, including business formation and governance, contracts and transactions, the purchase and sale of businesses, tax matters, business succession, and the coordination of business interests with personal estate planning.

Dave holds a Master of Laws (LL.M.) in Taxation from the University of Florida. His tax background allows him to bring an integrated approach to business and personal planning, helping clients consider not only the immediate legal issues they face, but also the tax, ownership, succession, and estate planning consequences of important decisions.

Dave has also served as Associate General Counsel to Idaho State University on behalf of Racine Olson, providing legal counsel on a broad range of matters. He also teaches in the accounting department at Idaho State University and has made numerous presentations on estate planning and probate issues.

As a leading member of Racine Olson's estate planning team, Dave works closely with individuals, families, and business owners to develop estate plans tailored to their particular circumstances and long-term objectives. His practice ranges from straightforward wills and trusts to sophisticated planning involving complex trusts, tax considerations, business interests, and business succession. He also assists personal representatives and trustees with probate and trust administration.

Dave regularly represents clients in the purchase and sale of privately held businesses and other significant business transactions. He works closely with business owners to structure transactions, negotiate and prepare agreements, address tax considerations, and identify legal and financial issues that can affect the success of a transaction.

Dave also represents businesses facing significant tax problems. He has helped clients resolve disputes with the IRS involving millions of dollars in tax liabilities and has represented clients in matters before the Idaho State Tax Commission.

Dave is also a trained mediator helping parties resolve disputes in commercial litigation.
